1. Acceptance of terms
These Terms of Service ("Terms") are a binding agreement between you and Decibot ("Decibot", "we", "us"). By adding Decibot to a Discord server, using its commands, or subscribing to a paid plan, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Decibot.
2. The service
Decibot is a Discord bot that joins voice channels, records participants' audio, transcribes it using AI (OpenAI Whisper), and delivers a Markdown transcript to a text channel or direct message. Features and limits may change over time. We may add, modify, or discontinue functionality at our discretion.
3. Eligibility
You must be at least 13 years old (or the minimum age required in your jurisdiction) and meet Discord's own age and eligibility requirements. By using Decibot you represent that you meet these requirements and that you have authority to bind any server or organization on whose behalf you act.
4. Subscriptions & billing
- Paid plans are billed on a recurring monthly basis through Stripe. Current plans and prices are shown on our pricing page.
- Each plan includes a monthly allowance of transcription minutes. Recording via
/startis gated by your remaining allowance. - Subscriptions renew automatically at the end of each billing period until cancelled.
- Overage Packs: Active subscribers may purchase one-time overage packs for additional transcription minutes. Overage minutes expire at the end of the billing period in which they were purchased and do not roll over to the next period. Overage packs cannot be used without an active paid subscription.
- You authorize us and Stripe to charge your payment method for the applicable fees, including taxes where required.
- We may change prices with reasonable advance notice; changes apply to your next billing period.
5. Cancellation & refunds
You may cancel your subscription at any time through the customer portal. Cancellation stops future renewals; you retain access to paid features through the end of the current billing period. Except where required by law, fees already paid are non-refundable and we do not provide prorated refunds for partial periods.
6. Acceptable use
You agree not to use Decibot to:
- Record any person without the consent required by applicable law (see Section 7).
- Violate any law, regulation, or the rights of others.
- Violate Discord's Terms of Service, Community Guidelines, or Developer Policy.
- Capture, transcribe, or distribute unlawful, harassing, or infringing content.
- Attempt to disrupt, reverse-engineer, overload, or gain unauthorized access to the service or its infrastructure.
- Resell or provide the service to third parties except as permitted by your plan.
7. Recording consent & compliance
Laws governing the recording of conversations vary by country, state, and region, and some require the consent of all parties. You are solely responsible for obtaining any consent required before starting a recording and for complying with all applicable recording, privacy, and data-protection laws. Decibot posts a visible recording notice as a courtesy, but you must not rely on it as a substitute for obtaining proper consent. You agree to indemnify us against claims arising from your failure to obtain required consent.
8. Third-party services
Decibot depends on third-party platforms including Discord, OpenAI, and Stripe. Your use of Decibot is also subject to their terms. We are not responsible for outages, changes, or actions of these providers, and their availability is outside our control.
9. Intellectual property & your content
The Decibot software, brand, and website are our property or licensed to us. The audio you record and the transcripts generated from it ("Your Content") belong to you and/or the participants; we claim no ownership of Your Content. You grant us a limited license to process Your Content solely to provide the service (recording, transcription, and delivery) as described in the Privacy Policy.
10. Disclaimers
Decibot is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI transcription is not perfect: transcripts may contain errors, omissions, or misattributed speakers, and you should not rely on them as a verbatim or legal record. We do not warrant that the service will be uninterrupted, timely, secure, or error-free.
11. Limitation of liability
To the maximum extent permitted by law, Decibot and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of the service. Our total aggregate liability for any claim relating to the service will not exceed the amount you paid to us in the three (3) months preceding the event giving rise to the claim.
12. Termination
You may stop using Decibot and cancel at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, misuse the service, or if required for legal or operational reasons. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and recording responsibilities) will survive.
13. Changes to these terms
We may update these Terms from time to time. We will revise the "Last updated" date above and, where appropriate, provide additional notice. Continued use of Decibot after changes take effect constitutes acceptance of the revised Terms.
14. Governing law & Jurisdiction
These Terms and any dispute arising out of or relating to them will be governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. You and Decibot agree that any judicial proceeding not subject to arbitration under Section 15 must be brought exclusively in the state or federal courts located in Boston, Massachusetts.
15. Dispute resolution & Binding arbitration
Please read this section carefully — it affects your legal rights, including your right to file a lawsuit in court and to have a jury trial.
- Initial dispute resolution: Most disputes can be resolved without litigation. You and Decibot agree to use best efforts to settle any dispute directly through consultation. Before filing a claim, you agree to contact us at dante@decibot.tech to attempt informal resolution.
- Binding arbitration: If we cannot resolve the dispute informally within thirty (30) days, both parties agree to resolve any claim exclusively through binding individual arbitration administered by JAMS (or another mutually agreed provider) in Boston, Massachusetts, under its simplified arbitration rules.
- Class action waiver: You and Decibot agree that any arbitration or legal proceeding will be conducted solely on an individual basis. Neither you nor Decibot will seek to have any dispute heard as a class action, representative action, or private attorney general action.
- Small claims exception: As an exception to binding arbitration, either party may bring an individual action in small claims court.
- 30-day opt-out: You have the right to opt out of this arbitration agreement and class action waiver. To opt out, you must send a written notice of your decision to dante@decibot.tech within thirty (30) days of first using the bot or subscribing to a plan, stating your name and clear intent to opt out.
